Purchase of Proxies for Attendance at Shareholder Meetings Banned; Heavy Penalty Imposed on Violators

During the peak season of shareholder meetings, proxy solicitors and agencies can obtain proxies from investors in the form of public announcement, advertisement, telephone, and personal visits. Also, they deliver the designated shareholder meeting souvenirs to the investors; however, the acquisition of proxies from shareholders by means of money or any other form of interest is strictly prohibited. Corporations or individuals who commit violations will be punished with an administrative fine of not less than NT$240,000 and not more than NT$4.8 million by the competent authority pursuant to the Securities and Exchange Act.

In addition, to further promote the legitimate use of proxies and the ban on the purchase of proxies, the competent authority has stipulated regulations governing rewards for informing. If investors find concrete evidence for purchasing proxies in cash or with other interest, they can present the evidence and report to TDCC. If the report is verified, and the final decision of the penalty is made by the competent authority, the reward will be issued with the maxim of NT$50,000. Report hotline: 02-25473733.

TDCC, mandated by the competent authority to verify proxy solicitation, has been adhering to the principles of verification in compliance with law, neutrality, and objectivity. TDCC once again appeal that before an investor delivers the proxy to the solicitor, the investor shall have an understanding of the solicitor’s opinions on each motion of the shareholder meeting and judge if the solicitor will have a positive effect on the corporation’s future operation. The investor also needs to sign or stamp the proxy to protect the investors’ rights and interests. In addition to the proxies for attendance, investors can make more use of TDCC’s electronic voting platform “StockVote.” Exercising voting rights through electronic voting ensures the same protection for shareholders’ rights and interests.
